It is expressly understood and agreed that any contract resulting from this acknowledgment contains all terms and conditions printed herein. Any differing or additional terms offered by the Buyer are expressly rejected unless accepted in writing by Data Steels. Buyer’s purchase orders or related instruments containing terms inconsistent with these will not be binding unless agreed upon in writing by Data Steels.

There are no understandings, terms, conditions, or warranties not expressly stated herein. No requirements contract exists unless agreed to in a signed document by both Buyer and Data Steels. Data Steels warrants clear title and freedom from encumbrances on products sold, and that such products meet the described merchantable quality. No warranties, express or implied, are given for products misused, abused, or improperly installed or maintained. All implied warranties exceeding those stated herein are expressly disclaimed.

Data Steels’ liability shall be limited to repair, replacement, or credit for defective stainless steel products proven not to meet specifications at delivery, at Data Steels’ option. Total liability shall not exceed the purchase price paid. Data Steels shall not be liable for labor costs, consequential damages, or delays in delivery.Data Steels shall not be liable for delays or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, government orders, labor disputes, shortages of raw materials, transportation issues, or other unforeseen circumstances.

Title to products passes upon delivery to the carrier. Buyer may not divert shipments without written consent of Data Steels. Data Steels reserves the right to determine transportation mode. Failure of Buyer to comply with contract terms or payment obligations may result in deferred shipments or termination of the contract. Buyer authorizes Data Steels to offset any amounts owed against monies payable to Buyer.

Test data referring to mechanical or chemical properties represent specific samples tested according to industry standards and are limited to those results. Products are subject to manufacturing tolerances and classifications. Data Steels is not responsible for technical advice relating to design, installation, or use. Applicable taxes are additional to quoted prices and borne by Buyer.
